Giveaway Rules

1. General Provision

1.1. These Rules establish the procedure for conducting the giveaway “Telegram Premium for Subscribers of the New ADF Capital Telegram Channel” (the “Giveaway”).

1.2. The Organizer of the Giveaway is ADF Capital LLC:

represented by General Director E.V. Efimova, acting pursuant to the Charter (the “Organizer”).

1.3. The Giveaway is conducted using the built-in Telegram Giveaway feature in the new official ADF Capital Telegram channel:

https://t.me/ADF_Capital

1.4. The Giveaway is conducted in connection with the Organizer's transition from the former Telegram channel https://t.me/ADFcap to the new official Channel.

1.5. Participation in the Giveaway is free of charge. Participants are not required to:

enter into an agreement with the Organizer;
register on the ADF Capital platform;
purchase any goods or services;
transfer any funds;
fund a trading account;
execute trades or achieve any specific trading results;
perform any other additional actions.

1.6. The Giveaway does not constitute a lottery, gambling activity, or wager and does not require Participants to pay any fee or provide any other property or consideration.

1.7. Telegram не является инициатором или организатором Розыгрыша. Telegram предоставляет техническую функцию Giveaway, которая автоматически определяет победителей и предоставляет им Telegram Premium.

1.8. Definitions:

1.8.1. Organizer — Organizer means ADF Capital LLC, whose details are specified in Section 1.2 of these Rules and which organizes and finances the Giveaway.

1.8.2 Telegram is neither the initiator nor the Organizer of the Giveaway. Telegram provides the technical Giveaway functionality that automatically determines the Winners and grants them Telegram Premium.

1.8.3 Channel — Channel means the new official ADF Capital Telegram channel available at: https://t.me/ADF_Capital.

1.8.4 Telegram Giveaway — means Telegram's built-in functionality used for the technical administration of the Giveaway, verification of compliance with the participation requirements, automatic random selection of Winners, and provision of Prizes.

1.8.5 Participant — means an individual who has an active Telegram account, is subscribed to the Channel, and complies with these Rules and the technical requirements of Telegram Giveaway.

1.8.6 Winner — means a Participant automatically selected by Telegram Giveaway as a recipient of a Prize..

1.8.7 Prize — means a one-year Telegram Premium subscription granted to a Winner through Telegram Giveaway and paid for by the Organizer.

1.8.8 Telegram Premium — means Telegram's paid subscription service that provides users with additional features in accordance with the applicable Telegram terms.

1.8.9 Giveaway — means the event “Telegram Premium for Subscribers of the New ADF Capital Telegram Channel” conducted by the Organizer in accordance with these Rules using Telegram Giveaway.

2. Giveaway Period

2.1. The Giveaway begins upon publication of the Giveaway announcement through Telegram Giveaway in the Channel on July 29, 2026.

2.2. The Giveaway ends and the Winners are determined on August 13, 2026 at 15:00 Moscow time.

2.3. All times and deadlines specified in these Rules are based on Moscow time (UTC+3).

3. Giveaway Participants

3.1. A Participant may be any individual who has an active Telegram account and complies with the technical participation requirements established by Telegram.

3.2. The Organizer does not impose any restrictions based on the Participant's country of residence or location.

Participation in the Giveaway and use of the Prize are possible provided that the relevant Telegram functionality is available and that participation or use of the Prize is not prohibited by the laws applicable to the Participant.

3.3. All Channel subscribers participate in the Giveaway, including users who subscribed to the Channel before the Giveaway began.

3.4. Employees of the Organizer and other persons affiliated with the Organizer may participate in the Giveaway on the same terms as other Participants.

The Organizer does not grant them any advantages and does not influence the process of determining the Winners.

3.5. To participate, a user must:

have an active Telegram account;
be subscribed to the Channel;
remain subscribed to the Channel until the Winners are determined.

3.6. Subscription to the former Telegram channel https://t.me/ADFcap is not required to participate.

3.7. No additional actions are required, including:

posting reactions or comments;
inviting other users;
registering on the ADF Capital platform;
carrying out trading transactions.

3.8. A user who complies with the requirements of this Section and remains subscribed to the Channel until the Winners are determined is considered a Participant in the Giveaway.

3.9. A user may withdraw from participation by unsubscribing from the Channel before the Winners are determined.

3.10. One Telegram account may receive no more than one Prize in the Giveaway.

4. Prize Fund

4.1. The Prize Fund consists of five one-year Telegram Premium subscriptions.

4.2. The number of Winners is 5 (five).

4.3. According to information provided by Telegram at the time the Giveaway was created, the total value of the Prize Fund is RUB 14,949.99.

4.4. According to information provided by Telegram at the time the Giveaway was created, the value of each Telegram Premium subscription is RUB 2,990 (two thousand nine hundred and ninety rubles)..

4.5. The Prizes are purchased by the Organizer using the built-in Telegram Giveaway functionality.

4.6. No cash equivalent of the Prize is provided.

A Winner may not request that Telegram Premium be replaced with another prize.

4.7. The procedure for activating and using Telegram Premium, the available features, technical requirements, and restrictions are governed by Telegram's rules and reference materials published on the official Telegram Premium page:

in the version effective on the date the Prize is activated.

5. Determination of Winners and Provision of Prizes

5.1. The Winners are determined automatically and randomly by Telegram Giveaway on August 13, 2026 at 15:00 Moscow time from among users who meet the participation requirements.

5.2. The Organizer:

does not manually select Participants;
does not independently determine the Winners;
does not interfere with Telegram's algorithm;
cannot alter the results of the automatic Winner selection.

5.3. A description of the technical procedure for conducting giveaways using Telegram Giveaway, including the automatic selection of Winners and provision of Telegram Premium, is available on Telegram's official website:

5.4. Telegram automatically provides Winners with links or codes for activating their Telegram Premium subscription.

5.5. To receive the Prize, a Winner is not required to contact the Organizer separately or provide the Organizer with passport details, payment information, or any other additional information.

5.6. After the Giveaway ends, Telegram automatically publishes the list of Winners in the Channel.

5.7. The results determined through Telegram Giveaway are final.

5.8. The Organizer is not responsible for the loss, transfer to third parties, or non-use by a Winner of the activation link or code received.

6. Participant Data and Publication of Results

6.1. The Organizer does not separately collect personal data for the purposes of registering users as Participants, determining Winners, or providing Telegram Premium.

6.2. Participant registration, subscription verification, Winner selection, and Prize distribution are carried out using Telegram's technical functionality in accordance with Telegram's applicable rules and policies.

6.3. By participating in the Giveaway, the user understands that information relating to their Telegram account, including their display name and username, if available, may be automatically published by Telegram in the Giveaway results announcement.

6.4. For any questions related to the Giveaway, a Participant may contact the Organizer at the email address specified in Section 1.2 of these Rules.

7. Taxation

7.1. The Organizer fulfills all obligations relating to taxation of the Prizes in the cases and in the manner required by the laws of the Russian Federation.

7.2. Each Participant is responsible for fulfilling any tax obligations that may arise under the laws of the jurisdiction in which they are a tax resident.

7.3. If the Organizer is required to obtain information from a Winner solely in order to comply with applicable tax law requirements, the Organizer may contact that Winner separately.

8. Liability and Technical Circumstances

8.1. The Organizer is not liable for:

interruptions or restrictions in Telegram's operation;
lack of Internet access by a Participant;
malfunction of a Participant's device or software;
the status, blocking, or deletion of a Participant's Telegram account;
account privacy settings;
unsubscribing from the Channel before the Winners are determined;
inability to activate or use Telegram Premium for reasons beyond the Organizer's control;
actions or omissions of the Participant or third parties.

8.2. The Organizer does not guarantee that any particular Participant will win.

8.3. If the Giveaway cannot be conducted or completed due to Telegram technical restrictions, changes in applicable law, or other circumstances beyond the Organizer's control, the Organizer will publish information about such circumstances in the Channel and act in accordance with the technical options available.

9. Amendments to the Rules

9.1. Before the Giveaway begins, the Organizer may amend these Rules by publishing an updated version on its official website.

9.2. After the Giveaway has begun, these Rules may be amended only:

due to changes in legislation or mandatory requirements imposed by public authorities;
due to changes in mandatory Telegram terms;
where technical circumstances prevent the Giveaway from continuing under the original terms.

9.3. Amendments must not worsen the position of Participants, except where such amendments are required to comply with applicable law or result from Telegram technical limitations.

9.4. Information about material amendments is published on the Organizer's official website and, where necessary, in the Channel.

10. Final Provisions

10.1. These Rules are published on the Organizer's official website. A link to the Rules is included in the Giveaway announcement.

10.2. A user's continued subscription to the Channel until the Winners are determined constitutes participation in the Giveaway subject to these Rules.

10.3. If there is any discrepancy between these Rules and any accompanying informational announcement, these Rules prevail.

At the same time, the technical parameters of the Giveaway recorded in the Telegram Giveaway interface after launch apply in accordance with Telegram's settings.

10.4. Any matters not expressly governed by these Rules are subject to the laws of the Russian Federation and the mandatory technical terms of Telegram.

10.5. These Rules enter into force upon publication on the Organizer's official website.
